1. Nature of Products
KEYCODE.CLOUD sells digital product keys that enable activation and use of software products.
A product key allows the user to download, install, and activate software directly from the official source of the software publisher. We do not host, distribute, or modify the software itself.
The scope of use, license rights, installation rights, transferability, and all other conditions governing the use of the software are defined exclusively by the respective software publisher. These terms must be accepted by the user during installation or activation.
By purchasing a product key from KEYCODE.CLOUD, you acknowledge that:

You are purchasing a digital activation key.

The rights to use the software are governed solely by the publisher’s license agreement.

KEYCODE.CLOUD is not the manufacturer of the software.
We operate as an independent reseller and are not affiliated with or endorsed by any software publisher unless explicitly stated.
All trademarks and brand names belong to their respective owners.
2. Legal Framework (EU & Switzerland)
The resale and distribution of software within the European Union and Switzerland are governed by the principle of exhaustion.
Under Article 4(2) of Directive 2009/24/EC (EU) and Article 12 para. 2 of the Swiss Federal Act on Copyright and Related Rights (URG), once software has been lawfully placed on the market within the EU or Switzerland by or with the consent of the rights holder, the rights holder’s exclusive distribution right is exhausted.
This legal principle has been confirmed by rulings of the Court of Justice of the European Union, including Case C-128/11 (UsedSoft v. Oracle), which confirmed that the resale of software licenses is permissible under EU law under certain conditions.
KEYCODE.CLOUD operates in accordance with applicable European and Swiss legal principles.
3. Digital Delivery
All products sold on the Website are delivered digitally.
Upon successful payment, the product key will be delivered electronically via:

On-screen confirmation, and/or
-
Email to the address provided during checkout.
No physical product is shipped.
It is the customer’s responsibility to provide accurate contact information.
4. Warranty & Activation Guarantee
Each product includes an activation guarantee at the time of delivery.
If a key does not activate upon first use, the customer must contact support within 14 days of purchase. We may request:

A screenshot of the activation error

Confirmation that the key has not been previously activated
If the issue is verified, we will provide a replacement key or refund at our discretion.
After successful activation, responsibility for software functionality rests with the software publisher, as updates, account status, hardware changes, or publisher policies are beyond our control.
We do not guarantee compatibility with unsupported systems or future publisher changes.
5. Pricing & Modifications
All prices are listed in EUR unless otherwise stated.
We reserve the right to:

Modify prices at any time without prior notice

Discontinue products

Limit quantities per order
Price changes do not affect completed purchases.
6. Orders & Billing Accuracy
We reserve the right to refuse or cancel any order at our sole discretion, including but not limited to cases of:

Suspected fraud

Incorrect pricing due to technical errors

Abuse of payment systems
If an order is canceled after payment, a full refund will be issued.
Customers agree to provide accurate billing information and keep account details up to date.
7. Refund Policy (Digital Products)
Due to the nature of digital goods, once a product key has been delivered, the right of withdrawal may not apply in accordance with Article 16(m) of Directive 2011/83/EU (digital content supplied immediately with consumer consent).
By completing a purchase, the customer expressly agrees to immediate digital delivery and acknowledges that this may result in loss of the statutory right of withdrawal.
Refunds are provided only in cases of:

Refund requests must be submitted within 14 days of purchase.
8. Prohibited Uses
You may not use the Website:

9. Disclaimer of Warranties

10. Limitation of Liability
To the maximum extent permitted by law, KEYCODE.CLOUD shall not be liable for:

Publisher account restrictions

Software deactivation due to user misuse
Our total liability shall not exceed the amount paid for the product.
Nothing in these Terms excludes liability that cannot legally be excluded under Czech law.

We comply with the General Data Protection Regulation (GDPR).
12. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the Czech Republic.
For consumers residing in the European Union, mandatory consumer protection laws of the consumer’s country of residence remain unaffected.

We reserve the right to update these Terms at any time. The latest version will always be published on this page.
Continued use of the Website after changes constitutes acceptance of the revised Terms.
